VIKI PLATFORM COMMERCIAL TERMS AND CONDITIONS

PREAMBLE

These Commercial Terms and Conditions govern the purchase of Products offered by the Seller to the Customer (hereinafter collectively referred to as “the Parties”), through the VIKI Platform - in case of deficiency, absence, or contradiction of the Seller’s Terms and Conditions.

1. DEFINITIONS

The terms used below have the following meaning in these Platform Commercial Terms and Conditions:

• “Customer”: refers to any natural person acting as a consumer, accessing the Platform and placing an Order for Products from a Seller.
• “Seller’s T&Cs”: refers to the Seller’s General Terms and Conditions of Sale, uploaded to their account, governing the sale of their Products. These are supplemented by the Platform Commercial Terms. In case of contradiction, the Platform Commercial Terms shall prevail.
• “Order”: refers to the purchase of any Product from one or more Sellers by a Customer via the Platform.
• “Customer Account”: refers to the interface hosted on the Platform where all data provided by the Customer or User is stored and allowing access to Services. Access is via Credentials.
• “Terms of Use” or “ToU”: refers to the contractual terms available at the bottom of each Platform page governing its use.
• “Platform Commercial Terms”: refers to this contract governing Product sales via the Platform. These supplement the Seller’s specific T&Cs and prevail in case of inconsistency.
• “Sales Contract”: refers to the contractual framework governing the sale of a Product via the Platform (Product Sheet + Seller T&Cs + Platform Commercial Terms).
• “Seller’s Specific T&Cs”: refers to the Seller’s Terms governing distance sales.
• “Content”: all information, texts, logos, trademarks, images, etc., published by the Seller on the Platform.
• “Product Sheet”: the commercial offer describing a Product and its legal information.
• “Credentials”: login and password required to access the Customer Account.
• “Platform”: all web pages, services, and features offered to Users.
• “Operator”: the company managing the Platform and connecting the Parties.
• “Parties”: the Customer and the Seller collectively.
• “Payment Service Provider” or “PSP”: refers to the company providing payment services (WooCommerce).
• “Product”: goods such as home equipment, toys, cosmetics, pet supplies, etc.
• “Services”: services provided by the Operator to Sellers (listing, payment, etc.).
• “Site”: the Operator’s main website.
• “User”: anyone browsing the Platform.
• “Seller”: any professional seller using the Platform.

2. PURPOSE

These Terms aim to harmonize the commercial policy applicable to Product sales on the Platform.

3. ACCEPTANCE

The latest version applies to any new Order. Any Order implies full acceptance of the Seller’s T&Cs and these Platform Terms.

4. CUSTOMER INFORMATION

The Customer must create an account and provide accurate information.

5. ORDER PROCESS

5.1 Product Characteristics

The Seller commits to providing essential Product information.

5.2 Order Procedure

The Customer selects Products, validates the cart, and proceeds to payment.

5.3 Order Date

The order date is the confirmation date.

5.4 Prices

Prices are displayed in euros including VAT.

5.5 Availability

The Operator is not responsible for Product unavailability.

6. RIGHT OF WITHDRAWAL

Defined in Annex 2.

7. PAYMENT

7.1 Payment Methods

Payment by credit card.

7.2 Payment Date

Charged upon validation.

7.3 Refusal

Order is canceled if payment fails.

8. DELIVERY

Defined in Annex 1.

9. RISK TRANSFER

Risks transfer upon delivery.

10. WARRANTY

Legal guarantees apply.

11. LIABILITY

Seller not liable for misuse.

12. FORCE MAJEURE

Obligations suspended in force majeure cases.

13. PERSONAL DATA

Data processed in compliance with GDPR.

14. CLAIMS

Customers may contact Sellers via the Platform.

15. INTELLECTUAL PROPERTY

Content belongs to Seller.

16. VALIDITY

Invalid clauses do not affect the contract.

17. MODIFICATION

Terms may be updated anytime.

18. GOVERNING LAW

French law applies.

ANNEX 1 - DELIVERY POLICY

Shipping times are specified in the cart.

ANNEX 2 - WITHDRAWAL POLICY

The Customer has 14 days to withdraw.

Withdrawal Effects

Full refund including delivery costs.

Return Conditions

Customer bears return costs.

Exclusions

Certain products/services are excluded.
